End User License Agreement

This End User License Agreement ("EULA" or "Agreement") is a binding contract between you ("you" or "User") and Venture CO Group ("UnderForge", "we", "us" or "our"), registered at 1036 Budapest, Pacsirtamező utca 65. VI. em. 4., Hungary (tax number HU32687062). It governs your access to and use of the UnderForge® mobile app, website and related coaching services (together, the "App" or "Service").

By creating an account, starting a free trial, purchasing a subscription or otherwise using the App, you confirm that you have read, understood and agree to this EULA and to our Privacy Policy. If you do not agree, do not use the App.

You must be at least 18 years old and able to enter into a binding contract to use the App. The App is not intended for children. By using it you confirm that you meet these requirements and that the information you provide is accurate and kept up to date.

UnderForge provides general fitness, training, nutrition, recovery and wellness information for educational and informational purposes only. It is not medical advice, diagnosis or treatment, and is not a substitute for professional medical care.

• Consult a physician before starting any exercise, nutrition or wellness program, especially if you have a medical condition or injury, are pregnant, or take medication.
• You participate in any activity suggested by the App voluntarily and at your own risk, and you assume all risk of injury.
• Stop immediately and seek medical help if you experience pain, dizziness, shortness of breath or discomfort. In an emergency, contact your local emergency services.

To the extent permitted by law, we are not liable for any injury, loss or harm arising from your use of the App or reliance on its content.

The App includes AI-generated coaching, plans, recommendations and chat. AI output may be inaccurate, incomplete or unsuitable for your circumstances and does not constitute professional medical, nutritional, psychological or other professional advice. Use your own judgment and consult qualified professionals where appropriate. Where human coaching is offered, coaches provide general guidance only and do not provide medical care.

UnderForge provides wellness and fitness coaching — personalized training, nutrition and recovery guidance, tracking tools, a photo-based meal analyzer and communication with a coach. The App supports your goals but does not guarantee any specific result, which depends on many factors including your own consistency.

You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity under your account. Use one account per person. Tell us promptly at yourcoach@underforge.io if you suspect unauthorized use.

Subject to your compliance with this EULA, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to download and use the App on a device you own or control, for your personal, non-commercial use. This licence is also governed by the applicable app store's terms (Apple Media Services / Google Play). All rights not expressly granted are reserved.

The App offers auto-renewable subscriptions that unlock premium features. Current plans are shown below; prices are subject to change, and the binding price, billing period and any trial are always shown at the point of purchase and may vary by region and currency.

• Weekly — €4.99, billed every week
• 3 Months — €34.99, billed every 3 months
• Yearly — €99.99, billed every year

Free trial. We may offer a free trial (for example two weeks; promotional offers such as event access codes may grant a longer trial). Unless you cancel at least 24 hours before the trial ends, it automatically converts to a paid subscription at the price shown, and your payment method is charged.

Auto-renewal. Subscriptions renew automatically for the same period unless you turn off auto-renew at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the period ends.

Payment & management. Purchases are processed by the applicable app store (Apple App Store or Google Play), not by us, and are charged to your store account. Manage or cancel in your store account settings. Deleting the App does not cancel a subscription.

You can cancel anytime; cancellation stops the next renewal and you keep access until the end of the paid period. Except where required by law or the applicable app store's policy, all purchases are final and non-refundable, and refund requests are handled by the app store (Apple or Google), not by us. As an EU/EEA consumer you generally have a 14-day right of withdrawal for distance contracts; by starting a digital subscription or trial and requesting immediate performance, you may be asked to acknowledge that you lose this right once the service has been fully provided, to the extent permitted by law.

The App may let you connect third-party health and fitness sources (e.g. Apple Health / HealthKit, Google Health Connect and connected wearables) and integrates with third parties such as app stores, payment and AI providers. When you connect a source, you authorize the App to read and use that data to provide features, as described in the Privacy Policy. We do not control and are not responsible for the accuracy of third-party data or services, which are governed by their own terms and privacy policies.

You keep ownership of the content you submit (such as logs, photos, body metrics and messages). You grant us a worldwide, royalty-free, limited licence to host, store, process and display that content solely to operate and improve the App and provide the Service to you (for example, to analyze a meal photo or let your coach review progress). We do not use your content to train public AI models. Do not upload content that is unlawful or infringes others' rights. See the Privacy Policy for details.

You agree not to misuse the App. In particular, do not: break the law or infringe others' rights; reverse-engineer, decompile or attempt to extract source code; copy, resell, sublicense or commercially exploit the App; circumvent or interfere with payments, security or rate limits; scrape or bulk-export data; misuse AI features to generate harmful or unlawful content; attempt to access other users' data; harass other users; or overload the Service.

The App and all associated software, content, designs, logos and trademarks — including the UnderForge® name and logo — are owned by Venture CO Group or its licensors and are protected by intellectual-property law. Except for the licence granted in the "Licence Grant" section, no rights are granted to you. You may not copy, modify or distribute our materials without permission.

The App and all content are provided "as is" and "as available" without warranties of any kind, express or implied. To the extent permitted by law, we disclaim the implied warranties of merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the App will be uninterrupted or error-free, or that any particular health, fitness or other result will be achieved. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill, arising from your use of the App. Our total liability for any claim will not exceed the greater of (a) the amounts you paid us (or through the app store for the App) in the 12 months before the claim, or (b) €50. Nothing in this EULA limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or your mandatory statutory consumer rights.

You agree to indemnify and hold us harmless from claims, damages and expenses (including reasonable legal fees) arising from your misuse of the App or your violation of this EULA or applicable law.

You may stop using the App and close your account anytime, and cancel any subscription as described above. We may suspend or terminate your access if you breach this EULA or use the App unlawfully, or to comply with law. On termination, the licences granted to you end; sections that by their nature should survive (such as the health and AI disclaimers, content licence, IP, warranty disclaimers, liability and indemnification) continue to apply.

We may modify, suspend or discontinue features of the App, and we may update this EULA. For material changes we will provide reasonable notice (for example in-app or by email), and the "last updated" date will reflect the current version. Your continued use after changes take effect constitutes acceptance.

This EULA is governed by Hungarian law, without affecting the mandatory consumer-protection rules of your country of residence. Disputes fall under the competent Hungarian courts, except where mandatory consumer-protection law entitles you to bring proceedings in your country of residence. As an EU consumer you may also use the European Commission's Online Dispute Resolution platform.

These terms apply if you obtained the App from the Apple App Store, and Apple requires them:

• This EULA is concluded between you and us only, not with Apple. We, not Apple, are solely responsible for the App and its content.
• The licence is limited to use on Apple-branded devices you own or control, as permitted by the App Store Terms of Service.
• Apple has no obligation to furnish any maintenance or support for the App.
• If the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation regarding the App.
• We, not Apple, are responsible for addressing any claims relating to the App, including product-liability, legal/regulatory-conformance, and consumer-protection or IP claims.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting," and that you are not on any U.S. Government prohibited-parties list.
• Apple and its subsidiaries are third-party beneficiaries of this EULA and may enforce it against you.

If you obtained the App from Google Play, your use is also subject to the Google Play Terms of Service. Google is not a party to this EULA and is not responsible for the App.
